1. Introduction

These General Terms and Conditions ("Terms") govern the use of all services, products, platforms, and digital solutions provided by Everline Europe OÜ ("Everline Europe", "we", "us", "our"). By engaging with our services or accessing our website, the Client ("Client", "you", "your") agrees to be legally bound by these Terms.

Everline Europe OÜ operates in compliance with Estonian and European Union regulations, including digital services, commercial practices, and consumer protection standards.

2. Scope of Services

Everline Europe OÜ specializes in advanced digital and marketing solutions. Our services include, but are not limited to:

• Digital advertising campaign creation & optimization
• Programmatic media buying & DSP management
• Social media marketing, brand awareness & content development
• Consulting, technical setup & system integration support
• Creative design, branding & visual identity services
• Analytics, reporting & performance insights
• Software tools, dashboards & marketing technologies (in-house or third-party)

The final scope will always be specified in the service agreement, proposal, or order form provided to the Client.

3. Client Responsibilities

The Client agrees to:

• Provide accurate, lawful and complete information required for service delivery.
• Ensure all creatives, material, and landing pages comply with EU & local regulations.
• Maintain proper GDPR compliance when sharing or processing user data.
• Secure permissions, rights, and licenses for all assets and materials used in campaigns.
• Not engage in illegal, harmful, misleading, or fraudulent activities using Everline’s services.

Everline reserves the right to suspend or decline service if unlawful or unethical activity is suspected.

4. Fees & Payment Terms

All pricing will be specified in the agreement, proposal, or invoice provided to the Client. Payments must follow the deadlines stated on the invoice.

• Late payments may incur statutory interest.
• Services may be paused for overdue invoices.
• Third‑party platform fees, advertising budgets or software licenses are the Client’s responsibility unless otherwise agreed.
• Everline Europe OÜ may update pricing with prior notice.

5. Intellectual Property

All creative content, assets, strategies, software tools, and methodologies developed by Everline remain our exclusive intellectual property unless explicitly transferred in writing.

The Client retains ownership of their brand assets, logos, and proprietary materials provided to Everline.

Everline grants a limited license to the Client to use delivered materials solely for their intended and agreed purpose.

6. Data Protection & GDPR Compliance

Everline Europe OÜ adheres to the GDPR and all applicable EU data-protection regulations.

• Any personal data handled will follow GDPR principles.
• The Client is responsible for ensuring legal grounds for sharing user data.
• Data Processing Agreements (DPAs) may be issued when necessary.
• Everline takes reasonable security measures but cannot guarantee absolute data security.

7. Confidentiality

Both parties must protect all confidential, proprietary, or sensitive information exchanged during collaboration. This obligation continues even after termination.

8. Limitation of Liability

To the fullest extent permitted by law:

• Everline is not liable for indirect, incidental, or consequential damages.
• No guarantees are provided regarding marketing results, conversions, or revenue increases.
• Everline is not responsible for downtime, platform failures, or third‑party service errors.
• Total liability shall not exceed the amount paid by the Client in the past three (3) months.

9. Term, Suspension & Termination

These Terms remain effective as long as the Client engages with Everline’s services.

• Either party may terminate the relationship with written notice as per agreement.
• Everline may immediately suspend services if unlawful or harmful activity is detected.
• Any outstanding payments remain due after termination.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of Estonia and applicable European Union regulations. Disputes shall first be attempted through negotiation; unresolved matters will fall under the jurisdiction of Estonian courts.

11. Amendments

Everline Europe OÜ may revise or update these Terms. The latest published version becomes effective on the indicated date.
